JAMES E. SOWELL

Mr. Sowell formed Jim Sowell Construction Co. Inc. in 1972, which is one of the largest subdivision developers in the State of Texas. Mr. Sowell graduated from Texas Tech University in 1970 with a BBA in Finance. He served in the U.S. Army in 1970 - 1971. Mr. Sowell has served on the Board of Directors of several New York Stock Exchange companies, including NL Industries, Todd Shipyards Corporation, and Ketchum Drug Company. He is currently a member of the Advisory Committee for the Byron Nelson Golf Excellence Fund and the Boy Scout Foundation Board of Trustees, as well as having served as the President of the Boy Scouts of America - Circle Ten Council and as Chairman of the Board of Regents for Texas Tech University and Texas Tech University Medical School. KEITH D. MARTIN

Mr. Martin has served as Chief Financial Officer for Sowell & Co. since 1981. Prior to joining Sowell & Co., Mr. Martin was with the accounting firm of Deloitte & Touche for nine years in the Houston and Dallas offices working on numerous manufacturing clients and several publicly-held companies. In addition to his CPA certificate, Mr. Martin has a Bachelor's Degree in Finance and a Master's Degree in Accounting from the University of Texas at Austin. Email: kmartin@sowellco.com

STEVEN E. SMATHERS

Mr. Smathers serves as chief legal counsel for Sowell & Co. He worked as a corporate shareholder in the financial institutions group of the law firm of Johnson & Gibbs prior to joining Sowell & Co. in 1991. ALAN D. BROWN

Mr. Brown's background is centered in finance and corporate acquisitions of which he has combined experience of over 35 years. Mr. Brown serves as Chairman of several of Sowell & Co's major investments. Mr. Brown received his undergraduate degree from Texas Tech University and an MBA from The Darden School at the University of Virginia. Prior to joining Sowell & Co. in 1987, Mr. Brown served in various lending capacities at First National Bank of Dallas (Interfirst) including Executive Vice President of the U.S. Corporate Division reporting to the Chairman of the Board. STEPHEN L. BROWN

After an eight-year career in sales and marketing with the IBM Corporation, Mr. Brown entered the real estate brokerage business in Dallas-Fort Worth in 1982. As President of Jim Sowell Construction Co., Inc. since 1992, Mr. Brown's primary responsibilities are acquisition, development, sales and marketing of the company's various real estate assets. KATHY FOX POWELL

Ms. Powell joined Sowell & Co. in 1981 and currently serves as a Vice President and Legal Counsel, in charge of all Sowell & Co. Real Estate and Oil & Gas legal matters, in addition to Property Taxation. JAMES S. CORNELIUS

Mr. Cornelius began his real estate career in 1979. Mr. Cornelius joined Sowell and Co. in 1984. His strengths include land assemblages, zoning cases, development financing, and lot development in the Houston and Dallas-Fort Worth area, as well as other major markets in Texas and Colorado. KEVIN YOUNGBLOOD

Mr. Youngblood began his real estate career in the commercial appraisal business 1998, with Advanced Valuation Systems where he appraised all facets of commercial real estate. Mr. Youngblood joined Sowell and Co. in 2001. His areas of focus include land acquisition and sales, land investment, and lot development. DAVID L. CLARK

Mr. Clark has been with Sowell & Co., since 1999 and leads Sowell & Co.'s Private Equity Group. Mr. Clark is actively involved in serving on the board of Sergeant's Pet Care Products, American Integrity Insurance Group, CareCycle Solutions, Resourcing Edge and Apache Enterprises. After graduating from the University of Texas at Austin with a Bachelor of Arts and Bachelor of Business Administration, Mr. Clark worked for the consulting firm McKinsey & Co. for three years. WILL  R. SCHRAMME

Mr. Schramme joined Sowell & Co. in 2008 and focuses on sourcing, evaluating, structuring and managing private equity investments for the firm. Mr. Schramme serves on the board of Apache Enterprises and has an active role in overseeing Resourcing Edge. Prior to joining Sowell & Co., he worked at Spectrum Equity Investors, a mid-market private equity firm, and UBS Investment Bank. THOMAS L. HARRISON

Mr. Harrison has been actively involved in management buyouts, industry consolidations, recapitalizations, divestitures and other private equity opportunities since 1984. From 1996 through 2004, Mr. Harrison was a managing principal of Hoak Communications Partners, ("HCP"), a $175 million fund of media and communications investments. Before HCP he was an active participant in numerous leveraged buyout transactions as a principal of Hicks & Haas (or Haas, Wheat & Harrison), both Dallas-based private investment firms engaged exclusively in the leveraged buyout business. During this period, the respective firms originated over $3.0 billion of acquisitions, including A&W Brands, Inc., the Dr Pepper/Seven-Up Companies, Thermadyne Industries, Sybron International Corporation and Specialty Foods Corporation. THOMAS J. MARQUEZ JR.

Mr. Marquez is President and CEO of Sinapi Capital LLC which is Sowell & Co.'s in- house hedge fund. Prior to that, Mr. Marquez was with Perot Investments/Parkcentral Capital Management from 1990 to 2006. He was a partner in both organizations acting as the Public Equity Portfolio Manager for Perot Investments and the Director of Research for Parkcentral Capital, a $2+BB relative value hedge fund. Prior to joining Perot, Mr. Marquez was a partner at Smith Breeden Associates, a mortgage-backed securities investment advisory firm. Mr. Marquez has a Bachelor of Science in Engineering Degree in Electrical Engineering from Duke University graduating summa cum laude, a Master of Science degree in Computer Engineering from Stanford University and a Master of Business Administration degree from Duke University. SCOTT TRACY

Mr. Tracy serves as Vice President – Taxation, responsible for tax planning and compliance, entity structuring and transaction planning. Prior to joining Sowell & Co., Mr. Tracy spent 14 years with the Perot family, including nine years as the Director of Tax for Hillwood Development. Prior to that, Mr. Tracy worked for six years in public accounting, specializing primarily in real estate and personal financial planning for Ernst & Young in Dallas, and Arthur Andersen in Albuquerque. Mr. Tracy graduated from the University of Notre Dame in 1986 with a BBA in Accounting, and in 1987 received an MBA from Notre Dame with an emphasis in Taxation. Email: stracy@sowellco.com

ALEX ALLGOOD

Mr. Allgood joined Sowell & Co. with significant experience in M&A, buyout and restructuring transactions across a broad range of industries, including industrials, consumer, technology, telecom, real estate, energy and specialty finance. Prior to joining Sowell & Co., Mr. Allgood was a Managing Director of VeriQuest Private Capital, LP, a merchant bank, where he focused on principal investments, advisory assignments and liquid markets investment strategies for the firm's proprietary capital. Prior to VeriQuest, Mr. Allgood was a Senior Vice President in the Mergers & Acquisitions department at Lehman Brothers in New York. Mr. Allgood also worked in the Corporate Finance Group at Nesbitt Burns Securities, Inc. and at PriceWaterhouseCoopers. ZACH SOWELL

Mr. Sowell serves as Assistant Vice President - Marketing. Prior to joining Sowell & Co., Mr. Sowell spent 5 years leading National channel and product marketing efforts at Essilor of America, Inc., the world's largest manufacturer of ophthalmic lenses. With Sowell & Co., he oversees the marketing efforts of the companies within the Private Equity division, lending strategic guidance and tactical support to further drive sales and profitability. ROBERT DEWITT

Mr. De Witt serves as Vice President - Accounting, responsible for the corporate accounting, reporting and transaction planning. Prior to joining Sowell & Co., Mr. De Witt spent 4 years as a controller over private equity and debt funds with the Archon Group, L.P. (a division of the Goldman Sachs Group, Inc.). Prior to that, Mr. De Witt worked for eight years in public accounting providing assurance services primarily to the real estate and financial services industry for PricewaterhouseCoopers in Dallas.
